Welcome to Compliantly. These Terms of Service ("Terms") govern your access to and use of the Compliantly website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
Compliantly provides healthcare website compliance monitoring services, including but not limited to:
- CMS Price Transparency Monitoring: Automated monitoring of cms-hpt.txt files and Machine-Readable Files (MRF) for compliance with CMS Hospital Price Transparency requirements
- HIPAA Third-Party Script Monitoring: Detection and analysis of third-party scripts that may pose HIPAA compliance risks
- Security Scanning: Website security monitoring including SSL/TLS configuration, security headers, and vulnerability detection
- DNS Monitoring: Domain Name System record monitoring and change detection
- Uptime Monitoring: Website availability and performance monitoring
- SEO Health Checks: Search engine optimization monitoring and recommendations
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
3.2 Account Responsibility
You are responsible for all activities that occur under your account. You agree not to share your account credentials with any third party.
3.3 Team Accounts
If you create a team account, you are responsible for ensuring that all team members comply with these Terms.
4. Subscription and Payment
4.1 Subscription Plans
The Service is offered through various subscription plans with different features, monitoring frequencies, and domain limits. Current plans include:
- Agency Tier: Designed for healthcare marketing agencies managing multiple hospital websites
- Hospital Tier: Designed for hospital systems and healthcare organizations
4.2 Free Trial
We may offer a free trial period. At the end of the trial, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends.
4.3 Payment Terms
- All fees are billed in advance on a monthly or annual basis
- Payments are non-refundable except as required by law
- You authorize us to charge your payment method for all fees
- Prices may change with 30 days' notice
4.4 Failure to Pay
If payment fails, we may suspend or terminate your access to the Service. You remain responsible for any outstanding amounts.
5. Permitted Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You may:
- Monitor websites that you own or have explicit authorization to monitor
- Use the Service for your internal business purposes
- Access compliance reports and data generated by the Service
6. Prohibited Activities
You agree NOT to:
- Use the Service to monitor websites without proper authorization
- Attempt to gain unauthorized access to any part of the Service
- Use the Service in any way that could damage, disable, or impair the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit any malware or harmful code
- Resell or sublicense the Service without our written consent
- Use the Service in violation of any applicable laws or regulations
- Interfere with other users' access to the Service
- Use automated systems or software to extract data from the Service without permission
7. Intellectual Property
7.1 Our Rights
The Service, including all content, features, and functionality, is owned by Compliantly and is protected by copyright, trademark, and other intellectual property laws.
7.2 Your Rights
You retain ownership of any data you submit to the Service. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service.
7.3 Feedback
If you provide feedback or suggestions about the Service, you grant us the right to use such feedback without restriction or compensation.
8. Data and Privacy
8.1 Data Collection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

- ACCURACY OR COMPLETENESS OF RESULTS
IMPORTANT: The Service provides compliance monitoring and alerts but does not guarantee compliance with any laws or regulations. You remain solely responsible for your organization's compliance with CMS, HIPAA, and other applicable requirements. The Service should not be considered legal advice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPLIANTLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- COMPLIANTLY'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM
- COMPLIANTLY IS NOT LIABLE FOR ANY REGULATORY PENALTIES, FINES, OR LEGAL COSTS RESULTING FROM YOUR COMPLIANCE STATUS
11. Indemnification
You agree to indemnify, defend, and hold harmless Compliantly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws or regulations
12. Termination
12.1 Termination by You
You may terminate your account at any time through the account settings or by contacting us. Termination does not entitle you to a refund of any prepaid fees.
12.2 Termination by Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Extended period of inactivity
12.3 Effect of Termination
Upon termination:
- Your right to access the Service ceases immediately
- You remain responsible for any outstanding payments
- We will delete your data in accordance with our data retention policy
13. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:

- Sending an email to your registered email address
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
14. Dispute Resolution

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Compliantly regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
